1. INTRODUCTION AND ACCEPTANCE

These Terms and Conditions ("Terms") apply to and govern your use of and interactions with Ruah.co, the WonderHost SMS messaging service and artificial intelligence-supported agent and GatherUp, an event planning web application, and any future web- and mobile-based applications offered as ancillary products to WonderHost and GatherUp (collectively, the "Services"), each of which is operated by Fish Hunt Club LLC, doing business as Ruah ("Company," "we," "us," or "our"). Additional information about GatherUp is available at GatherUp.tech. 

1.1 Incorporation of Website Terms

By using any of our Services, you also agree to comply with our Opt-in/Opt-Out Policy and Privacy Policy, which are posted on, and govern your use of, Ruah.co, our corporate website (the "Website"), and any interactions you may have with content on the Website, support resources, blog, or other web-based materials. The Opt-in/Opt-Out Policy and Privacy Policy are incorporated by reference into these Terms and form part of your agreement with us.

1.2 Complete Agreement

These Terms, together with our Website Opt-In / Opt-Out Policy and Privacy Policy, constitute a complete and legally binding agreement between you and Fish Hunt Club LLC d/b/a Ruah.

2. ELIGIBILITY AND USER ACCOUNTS

2.1 Age Requirement

You must be at least 18 years old to use WonderHost. By using our Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. 

If we have reason to believe that a user is under the age of 18, we reserve the right to immediately suspend or terminate access to the Service and delete any personal data collected from that user. We do not knowingly collect personal data from individuals under 18. 

2.2 Account Registration

• You may use certain of the Services with or without creating an account
• If you create an account, you must provide accurate, current, and complete information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account

2.3 Account Termination

You may terminate your account at any time. We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine is harmful to our Services or other users.

3. DESCRIPTION OF SERVICES

3.1 WonderHost Platform and GatherUp Event Coordination Application

WonderHost is an AI-assisted local discovery and social gathering coordination service delivered primarily via SMS text messaging. GatherUp is an event planning and logistics support web application. The Services may include free and paid tiers. Key aspects of the Service include:

(a) AI-Powered Assistance. The Services use artificial intelligence systems to process your queries, suggest venues, and coordinate gathering logistics. You acknowledge and agree that when you interact with WonderHost or GatherUp, you are communicating with an AI-powered system, not a human being. While WonderHost is designed to provide helpful and accurate recommendations, AI-generated responses may contain errors or inaccuracies. 

(b) SMS Delivery. The WonderHost interacts via, among other means, SMS text messages through our telecommunications provider (currently Twilio, Inc.). Message and data rates from your wireless carrier may apply. Message frequency varies based on your usage.

(c) Location-Based Services. WonderHost and GatherUp use location information you provide (such as a city name or neighborhood) to suggest nearby venues and services. With your separate, affirmative opt-in consent, WonderHost and GatherUp may also collect precise geolocation data (GPS-level coordinates) to provide real-time proximity-based recommendations. You may decline to provide precise geolocation data and still use the Service by providing general location information. 

(d) No Guarantee. We do not guarantee uninterrupted or error-free service. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice when practicable.

4. DATA AND PRIVACY

4.1 Privacy Rights

• Our Privacy Policy, incorporated by reference, explains our data practices. You acknowledge that by using the Service, certain personal information will be processed as described in our Privacy Policy.

5. USER CONDUCT AND CONTENT

5.1 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any local, state, national, or international laws or regulations
• Harass, abuse, or harm others or threaten to do so
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service
• Upload or transmit viruses, malware, or other malicious code
• Collect or harvest personal information from other users without consent
• Use the Service for commercial purposes not expressly permitted

5.2 User Content

• You retain ownership of content you provide to WonderHost
• You grant us a limited license to use your content solely to provide our      Service
• You represent that you have all necessary rights to provide content to us
• We may remove content that violates these Terms or is otherwise objectionable

5.3 AI-Generated Content

• WonderHost uses AI to provide services to users
• AI-generated content is provided "as is" and may not always be accurate
• You are responsible for verifying information provided by our AI systems
• We are not liable for decisions made based on AI-generated suggestions

5.4 SMS Messaging Terms

Consent to Receive Messages. By texting our phone number or adding our phone number to a group chat or text thread, you expressly consent to receive recurring automated SMS and MMS messages from WonderHost at the phone number you provide. Consent is not a condition of purchasing any goods or services. Message and data rates may apply.

Message Frequency. Message frequency varies based on your interactions with the Service. In general, you may expect to receive 2–10 messages per interaction session, plus periodic service notifications, although the actual number of interactions may vary.

Opt-Out. You may opt out of a single chat at any time by replying STOP. You may opt out of all WonderHost communications by replying STOPALL. Upon opt-out, we will send a single confirmation message and honor your request immediately. You may also opt out by emailing tom.gregory@ruah.co or support@ruah.co.

Assistance and Feedback. We're a startup company with limited staff. This said, we'll do our best to respond to your inquiries. For assistance or to provide feedback, email a request or inquiry support@ruah.co.

Carrier Liability. Carriers (e.g., T-Mobile, AT&T, Verizon) and Ruah are not liable for delayed or undelivered messages.

Phone Number Changes. If you change your phone number, you must notify us in order to continue using WonderHost (or opt out prior to changing your phone number, if possible, and then begin using WonderHost with your new phone number. We are not responsible for messages sent to your former phone number. You represent that the phone number you provide is your own and that you are authorized to receive SMS messages at that number.

6. INTELLECTUAL PROPERTY

6.1 Our Rights

WonderHost, Ruah, Fish Hunt Club, and all related trademarks, logos, service marks, and trade names are proprietary to Fish Hunt Club LLC. All technology, software, and content provided through the Service is our property or licensed to us.

6.2 User Rights

You retain ownership of your original content. By using our Service, you grant us a non-exclusive, worldwide, royalty-free license to use your content solely for providing and improving our Service.

6.3 DMCA Compliance

We respond to valid Digital Millennium Copyright Act (DMCA) notices. If you believe your copyright is being infringed, please contact us at tom.gregory@ruah.co.

7. PAYMENT TERMS

7.1 Pricing

• WonderHost offers free and paid service tiers
• Pricing for paid services is displayed in the Service
• WonderHost does not handle payment processing for events - we facilitate connections to third-party payment processors

7.2 Billing

• Subscription fees are billed in advance
• Credit-based services are charged as used
• All fees are non-refundable unless otherwise specified
• We may change pricing with 30 days' notice

8. THIRD-PARTY SERVICES

8.1 Integrations

WonderHost integrates with third-party services (calendars, payment processors, location services). Use of these services is subject to their own terms and privacy policies.

8.2 Third-Party Content

We are not responsible for third-party content, including venue information, availability, or pricing.

9. DISCLAIMERS AND LIMITATION OF LIABILITY

9.1 Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FISH HUNT CLUB LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9.3 Event Responsibility

You are solely responsible for your events and gatherings. We are not liable for any issues, injuries, or damages that occur at events planned using our Service.

10. INDEMNIFICATION

You agree to indemnify and hold harmless Fish Hunt Club LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. DISPUTE RESOLUTION

11.1 Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles.

11.2 Jurisdiction

Any disputes shall be resolved in the state or federal courts located in Colorado.

11.3 Arbitration

For disputes under $10,000, either party may elect binding arbitration under the rules of the American Arbitration Association.

12. MODIFICATIONS AND TERMINATION

12.1 Modifications to Terms

We may modify these Terms, our Website Terms of Use, or our Privacy Policy at any time. Continued use after changes constitutes acceptance of all updated terms.

12.2 Termination

• Either party may terminate this agreement at any time
• Upon termination, your right to use the Service ceases immediately
• Data deletion occurs according to our Privacy Policy
• Termination of your WonderHost account does not affect your ability to browse our website under the Website Terms of Use

13. GENERAL PROVISIONS

13.1 Entire Agreement

These Terms, together with our Website Terms of Use and Privacy Policy, constitute the entire agreement between you and Fish Hunt Club LLC d/b/a Ruah regarding your use of WonderHost and our website.

13.2 Document Hierarchy

In the event of any conflict between these Terms and our Website Terms of Use, these WonderHost Terms shall control with respect to platform usage, while Website Terms of Use shall control with respect to general website browsing and corporate content.

13.3 Severability

If any provision of these Terms is found invalid, the remaining provisions remain in full effect. The validity of our Website Terms of Use and Privacy Policy shall not be affected.

13.4 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of such right or provision.

13.5 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.
